Terms of Service

1. Acceptance of Terms

By accessing or using NoSheet (the "Service"), available at nosheet.ai, you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and H33.ai, Inc. ("H33.ai," "we," "us," or "our"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.

We recommend that you print or save a copy of these Terms for your records.

2. Description of Service

NoSheet is a cloud-based data cleaning, transformation, and campaign management platform. The Service enables users to:

• Upload CSV and spreadsheet data for processing
• Apply automated and manual cleaning operations to datasets
• Deduplicate records and identify redundant entries
• Standardize data formats, including phone numbers, addresses, names, and dates
• Manage and execute SMS campaigns using cleaned and validated data
• Access data analytics, visualization, and workflow automation tools

H33.ai reserves the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify users of material changes.

3. Account Registration

To access certain features of the Service, you must create an account. When registering, you agree to the following:

1. Accurate Information. You must provide accurate, current, and complete information during registration and keep your account information up to date.
2. Account Security. You are responsible for maintaining the confidentiality of your account credentials, including your password and any API keys. You must notify us immediately at legal@h33.ai if you suspect unauthorized access to your account.
3. Account Responsibility. You are solely responsible for all activity that occurs under your account, whether or not authorized by you.
4. Age Requirement. You must be at least 18 years of age to create an account and use the Service. By registering, you represent and warrant that you meet this requirement.
5. One Account Per Person. Each individual may maintain only one account unless expressly authorized by H33.ai.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in compliance with these Terms. You shall not, and shall not permit any third party to:

1. Upload, transmit, or store any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.
2. Use the Service to send spam, unsolicited communications, or bulk messaging in violation of applicable law.
3. Scrape, crawl, or use automated means to access the Service or extract data from it without our prior written consent.
4. Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
5. Intentionally overload, disrupt, or interfere with the Service's infrastructure, servers, or networks.
6. Upload or transmit viruses, malware, worms, or any other malicious code.
7. Attempt to gain unauthorized access to other users' accounts, data, or any systems or networks connected to the Service.
8. Use the Service in any manner that could damage, disable, or impair the Service or interfere with any other party's use of the Service.
9. Resell, sublicense, or provide access to the Service to third parties without our prior written consent.
10. Use the Service to violate any applicable local, state, national, or international law or regulation.

H33.ai reserves the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision, including, without limitation, suspending or terminating the offender's account and reporting such activity to law enforcement authorities.

5. User Data & Content

1. Ownership. You retain all ownership rights in and to the data and content you upload to the Service ("User Content"). H33.ai claims no ownership interest in your User Content.
2. License Grant. By uploading User Content, you grant H33.ai a limited, non-exclusive, royalty-free, worldwide license to process, store, display, and create derivative works of your User Content solely as necessary to provide, maintain, improve, and develop the Service, including training internal systems to improve data cleaning accuracy and developing new features. Aggregated, anonymized, and de-identified data derived from User Content may be used by H33.ai for analytics, benchmarking, and service improvement without restriction. This license survives termination for aggregated/anonymized data only; identifiable User Content license terminates when you delete your data or your account is terminated.
3. User Responsibility. You represent and warrant that you have all necessary rights, permissions, and consents to upload and process the data you submit to the Service. You are solely responsible for ensuring that your use of the Service, and the data you upload, complies with all applicable laws and regulations, including data protection and privacy laws.
4. No Endorsement. H33.ai does not endorse, verify, or assume any responsibility for User Content. We reserve the right to remove User Content that violates these Terms.

6. Data Processing

1. Processing on Your Behalf. NoSheet processes data on your behalf and according to your instructions. We act as a data processor with respect to your User Content.
2. Processing Location. Your data is processed and stored in the United States. By using the Service, you consent to the transfer and processing of your data in the United States.
3. Cleaning Operations. Data cleaning, deduplication, standardization, and transformation operations are performed on your data only as you instruct through the Service's interface.
4. No Sale of Data. H33.ai does not sell, rent, or trade your User Content to third parties. We do not use your User Content for advertising purposes.
5. Data Security. We implement commercially reasonable technical and organizational measures to protect your data against unauthorized access, alteration, disclosure, or destruction. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.

7. Free and Paid Plans

1. Free Tier. NoSheet offers a free tier with limited functionality, including restrictions on the number of rows processed, file uploads, campaign sends, and available features. Free tier limitations are described on our pricing page and may change at any time.
2. Paid Plans. Paid plans provide access to additional features, higher usage limits, and priority support. Paid plans are billed on a monthly or annual basis, as selected at the time of purchase.
3. Auto-Renewal. Paid subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You authorize us to charge your payment method on file for each renewal period.
4. Cancellation. You may cancel your paid subscription at any time through your account settings. Upon cancellation, your subscription will remain active until the end of the current billing period. No prorated refunds will be issued for the remaining portion of a billing period.
5. Downgrades. If you downgrade from a paid plan to the free tier, you may lose access to certain features and data that exceed free tier limitations. H33.ai is not responsible for any loss of data or functionality resulting from a downgrade.

8. Payment Terms

1. Payment Processor. All payments are processed securely through Stripe, Inc. By providing payment information, you agree to Stripe's Terms of Service. H33.ai does not directly store your full credit card information.
2. Currency. All prices are quoted and charged in United States Dollars (USD).
3. No Refunds. Payments are non-refundable. No refunds or credits will be issued for partial months of service, downgrade refunds, or unused features. H33.ai may, at its sole discretion, offer refunds or credits on a case-by-case basis.
4. Taxes. You are responsible for all applicable taxes, duties, and governmental charges associated with your use of the Service. Prices displayed do not include taxes unless otherwise stated.
5. Failed Payments. If a payment fails, we may suspend your access to paid features until payment is successfully processed. We will make reasonable efforts to notify you of payment failures.
6. Price Changes. H33.ai reserves the right to change pricing at any time. Price changes for existing subscribers will take effect at the start of the next billing cycle following at least 30 days' written notice.

9. SMS Campaign Terms

NoSheet provides tools for managing and executing SMS campaigns. By using these features, you agree to the following additional terms:

1. Regulatory Compliance. You must comply with all applicable laws and regulations governing SMS and electronic communications, including but not limited to the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, the Telemarketing Sales Rule (TSR), and any applicable state or international messaging regulations.
2. Prior Express Written Consent. You represent and warrant that you have obtained prior express written consent from each recipient before sending any SMS message through the Service, as required by the TCPA and applicable regulations.
3. Opt-Out Mechanisms. You must include a clear and conspicuous opt-out mechanism in every SMS message sent through the Service. You must honor all opt-out requests promptly and in compliance with applicable law.
4. Prohibited Content. You may not use the SMS campaign features to send messages containing illegal content, deceptive or misleading information, or content that violates the rights of any third party.
5. User Responsibility. H33.ai provides the platform and tools for SMS campaigns but is not responsible for the content of messages you send or your compliance with messaging laws. You are solely responsible for ensuring that your campaigns comply with all applicable laws and regulations.
6. Indemnification for SMS. You agree to indemnify and hold H33.ai harmless from any claims, damages, fines, or penalties arising from your SMS campaigns, including violations of the TCPA, CAN-SPAM, or other messaging laws.

10. Intellectual Property

1. H33.ai's Intellectual Property. The Service, including all software, code, design, text, graphics, logos, trademarks, and other materials (collectively, "H33.ai IP"), is owned by H33.ai, Inc. and is protected by United States and international copyright, trademark, patent, and other intellectual property laws.
2. Restrictions. You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works based on H33.ai IP without our prior written consent.
3. Trademarks. "NoSheet," "H33.ai," and associated logos are trademarks of H33.ai, Inc. You may not use these trademarks without our prior written permission.
4. Feedback. If you provide feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant H33.ai an irrevocable, perpetual, royalty-free, worldwide license to use, modify, and incorporate such Feedback into the Service without any obligation to you.

11. API Usage

1. API Access. H33.ai may provide application programming interfaces ("APIs") to allow programmatic access to the Service. API access is subject to these Terms and any additional API-specific documentation or guidelines.
2. Rate Limits. API usage is subject to rate limits as published in our API documentation. H33.ai reserves the right to modify rate limits at any time. Exceeding rate limits may result in throttling or temporary suspension of API access.
3. API Keys. API keys are confidential credentials. You must not share, publish, or expose your API keys. You are responsible for all activity conducted using your API keys.
4. Abuse. Any abuse of the API, including but not limited to excessive requests, unauthorized data extraction, or circumvention of rate limits, may result in immediate suspension or termination of your API access and/or account.

12. Service Availability

1. "As Is" Basis. The Service is provided on an "as is" and "as available" basis. H33.ai does not guarantee uninterrupted, error-free, or secure access to the Service.
2. Reasonable Efforts. H33.ai will use commercially reasonable efforts to maintain the availability and performance of the Service. However, we do not warrant any specific level of uptime or availability.
3. Scheduled Maintenance. H33.ai may perform scheduled maintenance that temporarily affects the availability of the Service. We will make reasonable efforts to provide advance notice of scheduled maintenance through the Service or via email.
4. Force Majeure. H33.ai shall not be liable for any failure or delay in performing its obligations due to causes beyond its reasonable control, including but not limited to natural disasters, acts of government, Internet outages, or third-party service failures.

13. Limitation of Liability

1. Cap on Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, H33.AI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO H33.AI DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
2. Exclusion of Damages. IN NO EVENT SHALL H33.AI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS, OR LOSS OF GOODWILL, WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF H33.AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
3. Data Loss. H33.AI IS NOT LIABLE FOR ANY LOSS, CORRUPTION, OR DESTRUCTION OF USER DATA. YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING INDEPENDENT BACKUPS OF YOUR DATA. YOU ACKNOWLEDGE THAT THE SERVICE IS NOT INTENDED TO BE USED AS THE SOLE REPOSITORY FOR YOUR DATA.
4. Applicability. Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the limitations and exclusions set forth in this section shall apply to the fullest extent permitted by applicable law.

14. Indemnification

You agree to indemnify, defend, and hold harmless H33.ai, Inc., its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

1. Your use of the Service or any activity under your account;
2. Your User Content or any data you upload, process, or transmit through the Service;
3. Your violation of these Terms or any applicable law or regulation;
4. Your violation of any third-party rights, including intellectual property, privacy, or publicity rights;
5. Any SMS campaigns or communications you send through the Service.

H33.ai reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. This indemnification obligation shall survive the termination of these Terms and your use of the Service.

15. Termination

1. Termination by You. You may terminate your account at any time by contacting us at legal@h33.ai or through your account settings. Termination does not relieve you of any obligations incurred prior to termination, including payment obligations.
2. Termination by H33.ai. H33.ai may suspend or terminate your account at any time, at its sole discretion, with or without cause and with or without notice, for any reason, including but not limited to: violation of these Terms, fraudulent or illegal activity, non-payment, or upon request by law enforcement or government agencies.
3. Effect of Termination. Upon termination, your right to access the Service immediately ceases. H33.ai will retain your data for a period of thirty (30) days following termination, during which you may request an export of your data. After this 30-day period, your data will be permanently deleted and cannot be recovered.
4. Survival. The following sections survive termination: Sections 5 (User Data & Content, to the extent of license grants), 10 (Intellectual Property), 13 (Limitation of Liability), 14 (Indemnification), 17 (Governing Law), and 19 (Entire Agreement).

16. Modifications to Terms

1. Right to Modify. H33.ai reserves the right to modify these Terms at any time. Material changes will be communicated to you with at least thirty (30) days' prior notice via email or a prominent notice within the Service.
2. Acceptance of Changes. Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service and terminate your account.
3. Review. We encourage you to review these Terms periodically. The "Last Updated" date at the top of this page indicates when the Terms were most recently revised.

17. Governing Law & Dispute Resolution

1. Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict-of-law principles.
2. Mandatory Arbitration. ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE RESOLVED EXCLUSIVELY BY BINDING ARBITRATION administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Wilmington, Delaware. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. Each party shall bear its own costs and attorneys' fees, unless the arbitrator determines otherwise. Notwithstanding the foregoing, H33.ai may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
3. Jurisdiction. For any matters not subject to arbitration, disputes shall be resolved exclusively in the state or federal courts located in the State of Delaware. You consent to the personal jurisdiction and venue of such courts and waive any objection based on inconvenient forum.
4. Waiver of Jury Trial. TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY IRREVOCABLY WAIVES ANY RIGHT IT MAY HAVE TO A TRIAL BY JURY IN ANY LEGAL PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS.
5. Class Action Waiver. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against H33.ai.
6. Time Limitation. You agree that any claim or cause of action arising out of or related to the Service or these Terms must be filed within one (1) year after such claim or cause of action arose, or be forever barred.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and H33.ai, Inc. with respect to the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and H33.ai relating to the Service.

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. H33.ai's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
